1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you," "Client," or "Customer") and AssureTech Ltd ("we," "us," "our," or "AssureTech"), concerning your access to and use of our cybersecurity services, revenue assurance solutions, Virtual CISO services, RegTech compliance tools, and related fintech solutions (collectively, the "Services"), as well as our website and associated platforms (collectively, the "Site").

By accessing the Site or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy and any applicable Service Level Agreements (SLAs). If you do not agree with these terms, you must immediately discontinue use of the Site and Services.

2. Services Description

AssureTech provides comprehensive cybersecurity and fintech solutions specifically designed for financial institutions, banks, mobile money operators, and fintech companies across Africa. Our Services include:

  • Cybersecurity Services: Threat detection, vulnerability assessments, penetration testing, security monitoring, and incident response
  • Revenue Assurance: Financial analytics, fraud detection, revenue leakage prevention, and transaction monitoring
  • Virtual CISO Services: Strategic security leadership, security program management, and compliance oversight
  • RegTech Compliance: Regulatory compliance automation, audit support, and compliance reporting
  • Security Assessments: Risk assessments, security audits, and compliance evaluations
  • Threat Intelligence: Real-time threat monitoring, security alerts, and intelligence reporting

Specific service terms, deliverables, and performance metrics are detailed in individual Service Agreements and SLAs.

3. Intellectual Property Rights

All intellectual property related to our Services, including but not limited to proprietary cybersecurity tools, threat intelligence databases, security frameworks, software applications, methodologies, reports, documentation, and the AssureTech brand (collectively, the "Intellectual Property") are owned by or licensed to AssureTech and are protected by copyright, trademark, patent, and trade secret laws of Ghana and international conventions.

You are granted a limited, non-exclusive, non-transferable license to use our Services and access related materials solely for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of our Services or Intellectual Property without our express written permission.

Client Data Ownership

You retain all rights to your data, systems, and information provided to us for service delivery. We claim no ownership over your data and will only use it to deliver the agreed-upon Services and as permitted by our Privacy Policy.

4. Client Responsibilities and Obligations

As a client of our cybersecurity and fintech services, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Maintain the confidentiality of account credentials and access controls
  • Promptly notify us of any security incidents or suspected breaches
  • Cooperate with security assessments, audits, and compliance reviews
  • Implement recommended security controls and remediation measures
  • Comply with all applicable laws, regulations, and industry standards
  • Not use our Services for illegal activities or to violate third-party rights
  • Maintain appropriate insurance coverage for your operations
  • Designate authorized personnel for service coordination and communications

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Attempt to reverse engineer, decompile, or disassemble our proprietary security tools
  • Use our Services to conduct unauthorized security testing on third-party systems
  • Share access credentials or service access with unauthorized parties
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our systems or networks
  • Use our threat intelligence for purposes other than protecting your own systems
  • Resell, sublicense, or redistribute our Services without authorization
  • Remove or alter any proprietary notices or labels on our materials
  • Use our Services in violation of export control or sanctions laws
  • Engage in activities that could damage our reputation or business relationships

6. Service Fees and Payment Terms

Service fees are specified in individual Service Agreements and may be based on subscription models, project-based pricing, or retainer arrangements. Payment terms include:

  • Fees are payable in accordance with the agreed payment schedule
  • All fees are quoted in the currency specified in the Service Agreement
  • Late payments may incur interest charges and service suspension
  • We reserve the right to adjust pricing upon renewal with advance notice
  • Certain services may require upfront deposits or milestone payments
  • Refunds are provided only as specified in the Service Agreement or SLA
  • You are responsible for all applicable taxes, duties, and government charges

7. Confidentiality and Non-Disclosure

Both parties acknowledge that they may have access to confidential information during the course of our engagement. "Confidential Information" includes business information, technical data, security vulnerabilities, financial information, and any information marked as confidential.

Each party agrees to:

  • Maintain the confidentiality of all Confidential Information
  • Use Confidential Information only for the purposes of the engagement
  • Limit access to Confidential Information to authorized personnel
  • Implement appropriate security measures to protect Confidential Information
  • Not disclose Confidential Information to third parties without consent
  • Return or destroy Confidential Information upon request or termination

8. Service Level Agreements and Warranties

We strive to provide high-quality cybersecurity and fintech services. Specific performance commitments, response times, and availability guarantees are detailed in applicable SLAs. We warrant that:

  • Services will be performed with professional skill and care
  • Our personnel possess appropriate qualifications and certifications
  • We maintain necessary insurance coverage for our operations
  • We comply with applicable laws and industry standards

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE AGREEMENTS, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT OUR SERVICES WILL PREVENT ALL SECURITY BREACHES OR ELIMINATE ALL VULNERABILITIES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSURETECH'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL ASSURETECH BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Security breaches resulting from your failure to implement recommendations
  • Damages caused by third-party actions or force majeure events
  • Issues arising from incomplete or inaccurate information provided by you

These limitations apply regardless of the legal theory of liability and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless AssureTech, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms of Service or any Service Agreement
  • Your violation of applicable laws or regulations
  • Your failure to implement recommended security controls
  • Unauthorized use of our Services by your personnel
  • Your infringement of third-party intellectual property rights
  • Security incidents resulting from your negligence or misconduct

11. Term and Termination

Service terms are specified in individual Service Agreements. Either party may terminate Services:

  • For convenience with advance written notice as specified in the Service Agreement
  • Immediately for material breach that remains uncured after written notice
  • Immediately if the other party becomes insolvent or enters bankruptcy

Upon termination, you must pay all outstanding fees, return our property and Confidential Information, and cease using our Services. Provisions regarding confidentiality, intellectual property, liability limitations, and indemnification survive termination.

12. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of Ghana, without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation by a mutually agreed mediator if negotiations fail
  • Arbitration in Accra, Ghana under the rules of the Ghana Arbitration Centre
  • Litigation in the courts of Ghana as a last resort

Each party retains the right to seek injunctive relief in court for breaches of confidentiality or intellectual property rights.

13. Changes to Terms

We may update these Terms of Service to reflect changes in our Services, legal requirements, or business practices. Material changes will be communicated through email or prominent website notice at least thirty (30) days before taking effect. Continued use of our Services after changes become effective constitutes acceptance of the updated Terms.
